What This Means (2024 FDD)

According to Fitstop's 2024 Franchise Disclosure Document, attempting to transfer the franchise agreement or ownership in the franchise without prior written consent from Fitstop constitutes a material breach of the agreement, rendering the action void.

Additionally, Fitstop can terminate the agreement if a franchisee attempts to transfer or assign all or any part of the agreement, the franchise, or any material portion of the real or personal property associated with either, except as provided in the agreement. This also applies to attempts to sub-franchise to a third person or entity or allowing an unauthorized third party to use any of the rights, proprietary property, and/or assets franchised or licensed to the franchisee.

These stipulations are fairly standard in franchising, as franchisors like Fitstop need to maintain control over who operates their branded locations to protect the brand and ensure consistent quality and standards. Franchisees should be aware that unauthorized transfers can have severe consequences, including termination of the franchise agreement.
