What This Means (2024 FDD)

According to Fitstop's 2024 Franchise Disclosure Document, Fitstop and its affiliate, Fitstop IP Pty Limited, claim trade secret protection for several aspects of the franchise system. This includes their manuals, training materials, advertising, and business materials. Fitstop IP Pty Limited owns these intellectual property rights and licenses them to Fitstop.

This means that Fitstop considers its advertising strategies and materials to be confidential and proprietary. A franchisee is restricted from sharing or using these materials for any purpose outside of operating their Fitstop franchise. This protection aims to prevent unauthorized use of Fitstop's advertising and marketing strategies by competitors or others.

Furthermore, the FDD states that franchisees receive information considered trade secrets and confidential information during the term of the Franchise Agreement. Franchisees are prohibited from communicating, divulging, or using this information for the benefit of any other person or entity, both during and after the term of the agreement. This extends to employees who must also maintain confidentiality through a signed agreement, with Fitstop identified as a third-party beneficiary with independent enforcement rights.

Fitstop also has the right to modify or revise its copyrighted materials, and franchisees are responsible for updating their advertising and marketing materials accordingly. This ensures that all franchisees are using the most current and approved advertising content, maintaining brand consistency and protecting Fitstop's intellectual property.
