What is the significance of the Addendum to the Fat Shack Franchise Agreement?

Fat_Shack Franchise · 2025 FDD

Answer from 2025 FDD Document

If, as of the date you sign your Franchise Agreement, you do not have the Restaurant Location chosen and approved by us, we will designate, by Addendum to the Franchise Agreement, a "Target Area" within which to find a Restaurant Location. The designation of the Target Area does not in any manner grant you any continuing territorial rights in or to the Target Area. If the Addendum lists only a Target Area and not the Restaurant Location, then we and you will sign the Restaurant Location Supplement to Franchise Agreement attached as Exhibit II to the Franchise Agreement upon our later approval of the Restaurant Location.

What This Means (2025 FDD)

According to Fat Shack's 2025 Franchise Disclosure Document, the Addendum to the Franchise Agreement is used to designate a "Target Area" for franchisees who have not yet secured an approved Restaurant Location at the time of signing the agreement. This Target Area serves as a preliminary zone within which the franchisee is expected to find a suitable location for their Fat Shack restaurant. The designation of a Target Area does not grant the franchisee any territorial rights. Once a location is approved, a Restaurant Location Supplement to the Franchise Agreement is signed, superseding the Addendum.

This Addendum is significant because it allows prospective Fat Shack franchisees to move forward with the franchising process even if they haven't yet identified a specific location. This can be beneficial in competitive real estate markets or when franchisees need more time to evaluate potential sites. However, it's crucial to understand that the Target Area designation provides no guarantee of exclusivity or protection. The franchisee bears the responsibility of finding and securing an appropriate location within the Target Area that meets Fat Shack's approval.

It is important to note that the franchisee must work with Fat Shack to get the Restaurant Location approved. The franchisor bases its approval on factors such as the viability of the location and the demographics. This process ensures that new Fat Shack locations are strategically placed to maximize their potential for success. Once the location is approved, the Restaurant Location Supplement to Franchise Agreement is signed, finalizing the agreement and allowing the franchisee to move forward with opening their Fat Shack restaurant.
