What This Means (2025 FDD)
According to the 2025 Fat Shack Franchise Disclosure Document, an 'Associate' is someone involved with the franchisee company in various capacities. This includes being an officer, partner, director, manager, agent, employee, member, Managing Owner, Designated Manager, beneficial owner, or independent contractor. The term 'Affiliation' collectively refers to these roles. It also includes someone related to a person with such an affiliation.
The FDD states that Fat Shack Inc. (FSI) requires the Associate to enter into an agreement to protect FSI's confidential information. This agreement is necessary before the Associate can access any confidential information related to FSI, its operations, Fat Shack Restaurants, and/or the Licensed Methods. This requirement is a material term of the Franchise Agreement, designed to protect FSI's know-how, systems, designs, trade dress, specifications, standards, procedures, and trade secrets used in the Fat Shack Restaurant's operation.
The agreement between the Associate, the franchisee company, and FSI includes clauses regarding nondisclosure of confidential information and noncompetition with FSI and the company. This ensures that the Associate is legally bound to protect FSI's interests and trade secrets, and to not compete unfairly with Fat Shack during and after their affiliation with the franchisee company. The Associate's role is therefore critical in maintaining the confidentiality and competitive edge of the Fat Shack franchise system.
