What This Means (2025 FDD)
According to Fat Shack's 2025 Franchise Disclosure Document, the franchise agreement can be executed in counterparts or by telecopies. This means that the agreement does not require all parties to sign the same physical document at the same time. Instead, each party can sign a separate copy (counterpart), and all the signed copies together constitute the complete agreement.
The FDD also states that copies transmitted by telecopier (fax) are acceptable. This provides flexibility in the signing process, allowing for quicker execution, especially when parties are geographically separated. The agreement becomes effective once all parties have signed their respective counterparts or copies.
This is a fairly standard practice in franchising and business agreements generally, as it streamlines the execution process. It reduces logistical hurdles and allows parties to finalize agreements more efficiently, without needing to coordinate a single, in-person signing event or rely solely on traditional mail for document exchange.
