What This Means (2025 FDD)
According to the 2025 Fat Shack Franchise Disclosure Document, a transferee or their owners are not allowed to operate or have an interest in a Competitive Business as a condition of the franchise transfer.
The FDD specifies that neither the transferee nor its owners or affiliates can operate or have an interest in a Competitive Business, which is defined in Section 21.1 of the agreement. This restriction is a pre-condition that must be met before or concurrently with the effective date of the transfer.
This requirement ensures that the new franchisee is fully committed to the Fat Shack brand and does not divert resources or knowledge to a competing business. It protects Fat Shack's market position and prevents potential conflicts of interest. A prospective franchisee should carefully review Section 21.1 to fully understand what constitutes a Competitive Business under the terms of the franchise agreement.
