What This Means (2025 FDD)

According to the 2025 Fat Shack Franchise Disclosure Document, 'Affiliation' describes the capacity in which an associate is involved with the Fat Shack franchisee. This includes roles such as an officer, partner, director, manager, agent, employee, member, Managing Owner, Designated Manager, beneficial owner, or independent contractor. It also extends to individuals related to someone holding one of these positions.

This definition is important because it determines who is required to sign the Nondisclosure and Noncompetition Agreement. Fat Shack requires that anyone with access to confidential information due to their affiliation with a franchisee must agree to these terms. This ensures that trade secrets and proprietary information are protected, maintaining the competitive advantage of the Fat Shack system.

The agreement is required to protect Fat Shack's confidential know-how, distinctive systems, designs, décor, trade dress, specifications, standards, procedures, and other trade secrets. It also protects Fat Shack's proprietary rights and the franchisee's right to use confidential information. By defining 'Affiliation' broadly, Fat Shack aims to cover all individuals who might gain access to sensitive information through their connection to the franchisee, regardless of their specific role or relationship.
