What This Means (2025 FDD)
According to Fat Shack's 2025 Franchise Disclosure Document, a proposed transferee must provide Fat Shack (FSI) with sufficient information to allow FSI to assess the transferee's business experience, aptitude, and financial qualifications. FSI must then approve the proposed transferee as a franchisee. Additionally, the franchisee must provide written notice to FSI at least 30 days before the proposed transfer date. This notice must include reasonably detailed information to enable FSI to evaluate the terms and conditions of the proposed transfer, including a written offer from the proposed transferee.
In practical terms, this means that if a franchisee wants to sell their Fat Shack location, they need to find a buyer who meets Fat Shack's standards. The potential buyer will have to open their books and records for Fat Shack to review their business background and financial status. This process ensures that any new franchisee is capable of running the Fat Shack restaurant successfully and maintaining the brand's reputation.
It is important to note that FSI has the final say in approving the transferee. Even if the franchisee finds a willing buyer, Fat Shack can reject the transfer if the proposed transferee does not meet their criteria. This protects Fat Shack's interests and ensures that all franchisees are qualified to operate a Fat Shack restaurant. Prospective franchisees should inquire about the specific criteria Fat Shack uses to evaluate potential transferees to ensure a smooth transfer process.
