What This Means (2025 FDD)
According to Fat Shack's 2025 Franchise Disclosure Document, a franchisee must provide a copy of each Nondisclosure and Noncompetition Agreement to Fat Shack at the time it is signed and thereafter upon request. This requirement applies to the franchisee, their General Manager, officers, partners, directors, beneficial owners, employees who have access to Fat Shack's proprietary information, and their immediate family members.
This obligation ensures that Fat Shack can maintain control over its confidential trade secrets and proprietary information. The Nondisclosure and Noncompetition Agreements are designed to protect Fat Shack's site selection criteria, methods, formats, recipes, sales and marketing techniques, and other confidential business practices. By requiring franchisees to obtain these agreements from relevant parties and provide copies to Fat Shack, the franchisor aims to prevent unauthorized disclosure or use of its valuable information.
For a prospective Fat Shack franchisee, this means they must implement a system for ensuring that all relevant individuals sign the Nondisclosure and Noncompetition Agreement and that copies are promptly provided to Fat Shack. Failure to comply with this requirement could potentially lead to breaches of the Franchise Agreement and possible legal repercussions. Franchisees should also be prepared to provide updated copies of these agreements to Fat Shack upon request, demonstrating ongoing compliance with this obligation.
