We also offer Area Development Agreements that allow select franchisees to purchase a protected area ("Protected Area") to open two or more FAT SHACK Restaurants within the Protected Area in addition to the first FAT SHACK Restaurant. The Area Development Agreement is attached to this Disclosure Document as Attachment B (the "Development Agreement"). During the term of the Development Agreement, we will not establish, nor will we license any other party to establish, FAT SHACK Restaurants using the Marks and Licensed Methods anywhere within the Protected Area except as is described in Item 12 related to Captive Audience Venues. For each FAT SHACK Restaurant developed under the Development Agreement, you will sign a separate franchise agreement, which may be different than the form of Franchise Agreement attached to this Disclosure Document.

What This Means (2025 FDD)
According to the 2025 Fat Shack Franchise Disclosure Document, Fat Shack offers Area Development Agreements to select franchisees, allowing them to purchase a protected area to open multiple Fat Shack restaurants. The Area Development Agreement is included as Attachment B to the Disclosure Document.
Under the Area Development Agreement, Fat Shack commits not to establish or license others to establish Fat Shack restaurants within the franchisee's Protected Area during the agreement's term, with exceptions noted in Item 12 regarding Captive Audience Venues. For each Fat Shack restaurant developed under the Development Agreement, the franchisee must sign a separate franchise agreement, which may differ from the standard Franchise Agreement attached to the Disclosure Document.
This agreement grants the franchisee the right to develop and establish Fat Shack restaurants within a defined geographic area, obligating them to operate these restaurants in compliance with Fat Shack's standards. Each restaurant must be established and operated under a separate Franchise Agreement. Fat Shack will not establish or license others to establish Fat Shack restaurants within the Protected Area while the Development Agreement is in effect, although existing franchise agreements may continue, and renewals or successor agreements for existing stores are permitted. Prospective franchisees should carefully review Attachment B to understand the terms and conditions of the Development Agreement.
