What This Means (2025 FDD)
According to Fat Shack's 2025 Franchise Disclosure Document, 'Affiliation' refers to the involvement of an individual with the franchisee company in various capacities. This includes roles such as an officer, partner, director, manager, agent, employee, member, Managing Owner, Designated Manager, beneficial owner, or independent contractor. It also extends to individuals related to someone holding such a position within the Fat Shack franchise.
This definition is important because individuals with an 'Affiliation' will likely have access to confidential information about Fat Shack's operations, the FAT SHACK Restaurants, and the Licensed Methods. As a result, Fat Shack requires these individuals to enter into an agreement to protect the franchisor's confidential know-how, systems, designs, trade dress, specifications, standards, procedures, and other trade secrets. This agreement ensures that those associated with the franchisee are legally bound to protect Fat Shack's proprietary information and prevent competition.
For a prospective Fat Shack franchisee, this means that anyone associated with their franchise in a significant role, or who has access to confidential information, will need to sign a non-disclosure and non-competition agreement. This is a standard practice in franchising to safeguard the franchisor's business methods and trade secrets. Franchisees should be aware of this requirement and ensure that all relevant individuals within their organization are willing to comply with these terms.
