During the term of the Development Agreement, we shall not establish, nor shall we license any other party to establish, FAT SHACK Restaurants using the Marks and Licensed Methods anywhere within the Protected Area (defined in Item 1 above) except in Captive Audience Venues. What This Means (2025 FDD)

According to Fat Shack's 2025 Franchise Disclosure Document, if you enter into a Development Agreement with Fat Shack, the company will assist you in the selection and approval of locations for your future Fat Shack restaurants. This assistance is provided in accordance with the terms and conditions outlined in the then-current Franchise Agreements. This suggests that while the Development Agreement sets the stage for expansion, the specifics of location selection and approval are governed by the standard Franchise Agreement in place at that time.

It's important to note that each Fat Shack Restaurant opened under a Development Agreement is subject to the terms and conditions of the then-current Franchise Agreement. This means that as a developer, you'll need to adhere to the prevailing franchise terms for each new location you open. The FDD also clarifies that the Development Agreement does not prevent existing Fat Shack restaurants in the Protected Area from continuing operations or renewing their franchise rights. Therefore, developers do not receive an exclusive territory and may face competition from other franchisees, company-owned outlets, or other channels of distribution.

Prospective Fat Shack developers should carefully review the then-current Franchise Agreement to understand the specific criteria and processes involved in location selection and approval. This includes understanding the factors Fat Shack considers when approving a location, such as its viability and the demographics of the proposed area. Item 11 of the FDD, referenced in Item 12, likely contains further details on these location-related factors. Developers should also inquire about the level of support Fat Shack provides during the site selection process, including market research, site evaluation, and lease negotiation assistance, to fully understand the scope of the franchisor's involvement.
