FRANCHISE AGREEMENT

THIS FRANCHISE AGREEMENT (this "Agreement") is dated as of20 (the "Effective
Date"), for a term commencing20 (the "Effective Date") and is between JEWELRY
REPAIR ENTERPRISES, INC., a Pennsylvania corporation ("Franchisor"), and, a(n)
