  • 12.2.

Cross Default and Termination.

If Franchisee or any of its Affiliates defaults under any other agreement with Franchisor or any of its Affiliates (including any other franchise agreement or sublease), and such default is not cured within any permitted period, if any, as provided in such other agreement, such default is deemed a default under this Agreement.

If, as a result of such default or the exercise of any other termination right, Franchisor or its Affiliates terminate such other agreement, Franchisor may immediately terminate this Agreement on notice to Franchisee without providing Franchisee with any additional opportunity to cure.

Likewise, if Franchisee or any of its Affiliates defaults under this Agreement, such default is considered a default under any other agreement with Franchisor or any of its Affiliates (including, without limitation, any sublease or franchise agreement); and Franchisor may terminate any of such other agreements on notice to Franchisee without providing Franchisee with any additional opportunity to cure.
