Franchisee agrees to indemnify Franchisor, Franchisor's Affiliates, and Franchisor's and Franchisor's Affiliates' respective shareholders, members, directors, officers, employees, agents, successors, and assignees (the "Indemnified Parties") and defend and hold them harmless for, from and against any and all Losses and Expenses they incur that directly or indirectly arise out of or in connection with:
(a) the establishment, construction, opening or operation of the Franchised Business;
(b) the business Franchisee conducts under this Agreement;
(c) any transfer or sale by Franchisee of the Franchised Business;
(d) Franchisee's noncompliance or alleged noncompliance with any law, ordinance, rule or regulation;
(e) libel, slander or disparaging comments made by Franchisee or any of its Owners, officers or directors regarding the System or any Fast-Fix Service Center or Indemnified Party (this provision does not apply to disclosure of truthful information to governmental authorities);
(f) any allegation that Franchisor is a joint employer or otherwise responsible for Franchisee's acts or omissions relating to its employees;
(g) Franchisee's breach of this Agreement; or
(h) Franchisee's breach of any agreement with a third party.

What This Means (2025 FDD)
According to Fast Fix Jewelry And Watch Repairs' 2025 Franchise Disclosure Document, the franchisee agrees to indemnify Franchisor, Franchisor's Affiliates, and Franchisor's and Franchisor's Affiliates' respective shareholders, members, directors, officers, employees, agents, successors, and assignees (the "Indemnified Parties"). This means the franchisee will protect them from any losses and expenses that arise directly or indirectly from several aspects of the business.
These aspects include the establishment, construction, opening, or operation of the Franchised Business, as well as the business the franchisee conducts under the Franchise Agreement. It also covers any transfer or sale of the Franchised Business by the franchisee. Furthermore, the franchisee will indemnify against any noncompliance or alleged noncompliance with any law, ordinance, rule, or regulation.
Additionally, the franchisee is responsible for libel, slander, or disparaging comments made by the franchisee or its owners, officers, or directors regarding the Fast Fix Jewelry And Watch Repairs system, any Fast-Fix Service Center, or any Indemnified Party. This does not apply to truthful information disclosed to governmental authorities. The franchisee also indemnifies against any allegation that Fast Fix Jewelry And Watch Repairs is a joint employer or otherwise responsible for the franchisee's acts or omissions relating to its employees, the franchisee's breach of the Franchise Agreement, or the franchisee's breach of any agreement with a third party.
