What This Means (2025 FDD)
According to Face Foundrie's 2025 Franchise Disclosure Document, Face Foundrie has the right to assign the contract without any restrictions. Specifically, Section 13.07 of the Franchise Agreement states that there is "No restriction on our right to assign." This means Face Foundrie can transfer its rights and obligations under the Franchise Agreement to another party without needing the franchisee's consent or meeting specific conditions.
However, the franchisee's ability to transfer the agreement is subject to Face Foundrie's approval. Section 13.01 indicates that Face Foundrie has the right to approve all transfers by the franchisee, but they will not unreasonably withhold approval. This implies that while Face Foundrie has discretion in approving transfers, they must have a legitimate business reason for denying a transfer request.
Several conditions must be met for Face Foundrie to approve a franchisee's transfer. These conditions include ensuring the transferee is qualified, the transferee assumes all obligations under the Franchise Agreement, the terms of the transfer are satisfactory to Face Foundrie, the franchisee is not in default, the transferee completes training, the Facial Bar is upgraded if required, a general release is signed, a fee is paid, and Face Foundrie declines to exercise its right of first refusal. Face Foundrie also has the right of first refusal, meaning they can match any offer made for the transfer of the franchisee's business or any ownership interest.
