Who owns the trademarks for Face Foundrie?

Under the Franchise Agreement, we grant you the non-exclusive right to operate your Facial Bar under the name "FACE FOUNDRIÉ" and to use the other Marks we authorize you to use. The table below lists the principal Marks that you may use with your franchise.
The Marks are owned by our parent, 2F Holdings L.L.C., and are licensed exclusively to us. 2F Holdings L.L.C. has granted us an exclusive license ("Trademark License") to use the Marks to franchise the System in the United States. The Trademark License, which was originally between us and our former parent, Face Foundrié LLC, but was assigned to 2F Holdings L.L.C. on February 20, 2025, is for 10 years and began on April 14, 2020. It will automatically renew for subsequent 10-year periods provided we are not in default or do not materially breach the Trademark License by engaging in any activity which damages the Marks or the goodwill of the System. If the Trademark License is terminated, 2F Holdings L.L.C. has agreed to license the Marks directly to our franchisees until such time as each franchise agreement expires or is otherwise terminated.

What This Means (2025 FDD)
According to Face Foundrie's 2025 Franchise Disclosure Document, the trademarks are owned by 2F Holdings L.L.C., the parent company of Face Foundrie. Face Foundrie is granted an exclusive license to use these marks to franchise the Face Foundrie system in the United States through a Trademark License. This license was originally between Face Foundrie and its former parent, Face Foundrié LLC, but was assigned to 2F Holdings L.L.C. on February 20, 2025.
The Trademark License is for a term of 10 years, beginning on April 14, 2020, and automatically renews for subsequent 10-year periods, provided Face Foundrie is not in default or does not materially breach the Trademark License. A material breach would include any activity that damages the marks or the goodwill of the Face Foundrie system. Should the Trademark License be terminated, 2F Holdings L.L.C. has agreed to license the marks directly to Face Foundrie franchisees until their individual franchise agreements expire or are terminated.
The FDD lists several registered trademarks owned by 2F Holdings L.L.C., including "FACE FOUNDRIÉ," "A FOCUSED FACIAL BAR," "I REALLY LIKE YOUR FACE," and "WE WANT TO TOUCH YOUR FACE." These marks are registered on the Principal Register of the United States Patent and Trademark Office (USPTO). Face Foundrie states that it has filed or intends to file all required affidavits and renewals for the principal Marks. As a franchisee, you are only allowed to use the trademarks to identify your Facial Bar and must adhere to the guidelines set forth in the Franchise Agreement and Operations Manual. You cannot use the trademarks as part of any corporate or trade name, or as part of any domain name, unless expressly authorized in writing by Face Foundrie.
