se agreement for the Premises, or (b) execute any amendment to, or agree to any modifications to, a lease, sublease or purchase agreement for the Premises. The rights granted to Franchisee are for the specific Premises and cannot be transferred to any other location, except with Franchisor's prior written approval.
- 3.03 Opening; Extensions. Franchisee may not open the Facial Bar for business to the public until Franchisor notifies Franchisee in writing that the Facial Bar meets Franchisor's standards and specifications (although Franchisor's acceptance is not a representation or warranty, express or implied, that the Facial Bar complies with any engineering, licensing, environmental, labor, health, building, fire, sanitation, occupational, landlord's, insurance, safety, tax, governmental, or other statutes, rules, regulations, requirements, or recommendations nor a waiver of Franchisor's right to require continuing compliance with Franchisor's requirements, standards, and policies). Franchisor reserves the right to conduct on-site inspections during the construction of the Facial Bar as Franchisor deems appropriate in its sole discretion, and Franchisor reserves the right to charge its then current fee for such on-site inspections and to require Franchisee to reimburse Franchisor its out-of-pocket expenses that it incurs in conducting such on-site inspections, including costs of transportation, lodging, and meals. Franchisee agrees to comply with this Section and open the Facial Bar before ten (10) months after the Effective Date, provided, however, Franchisor may, in its sole discretion upon Franchisee's request, give Franchisee an opportunity to extend this opening date by six (6) months subject to Franchisee paying Franchisor an extension fee and signing an extension agreement in the form Franchisor provides. If Franchisee opts to retain any protected territory granted to it, and Franchisor approves, the extension fee will be Two Thousand Five Hundred Dollars ($2,500).

What This Means (2025 FDD)
According to Face Foundrie's 2025 Franchise Disclosure Document, a franchisee cannot open their Facial Bar for business to the public until Face Foundrie provides written notification that the Facial Bar meets their standards and specifications. However, this acceptance does not represent or warrant that the Facial Bar complies with all applicable statutes, rules, regulations, requirements, or recommendations. It also does not waive Face Foundrie's right to require ongoing compliance with their standards and policies.
In addition, the franchisee's Operating Partner and Salon Manager must complete the initial management training program to Face Foundrie's satisfaction before the Facial Bar opens. No fees are charged for up to three individuals participating in the training program, but the franchisee is responsible for costs like transportation, lodging, meals, and compensation for each attendee.
Furthermore, at least sixty (60) days before opening, the franchisee must submit a grand opening promotional plan to Face Foundrie for approval. The franchisee is also required to spend a minimum amount on this grand opening marketing program, as determined by Face Foundrie. This expenditure is in addition to any marketing contributions the franchisee must pay to Face Foundrie.
