What This Means (2025 FDD)
According to Face Foundrie's 2025 Franchise Disclosure Document, any modifications or improvements a franchisee makes to the Face Foundrie System, including ideas, concepts, methods, or techniques, are considered works made for hire and are exclusively owned by Face Foundrie. The franchisee will not be compensated for these modifications or improvements.
To evidence Face Foundrie's ownership, the franchisee must sign any documents that Face Foundrie requests. These documents assist Face Foundrie in securing intellectual property rights in the franchisee's ideas, concepts, methods, or techniques. This requirement ensures that Face Foundrie maintains control and ownership over any advancements or changes to the Face Foundrie system, which is a fairly standard practice in franchising to protect the brand's intellectual property.
This clause has significant implications for a prospective Face Foundrie franchisee. While franchisees may contribute valuable insights or innovations to the system, they will not retain ownership or receive compensation for these contributions. The franchisee effectively assigns all rights to these improvements to Face Foundrie. Therefore, a franchisee should carefully consider this aspect, especially if they have a background in innovation or a strong desire to contribute to the evolution of the Face Foundrie system while retaining some form of ownership or benefit.
