What This Means (2025 FDD)

According to Face Foundrie's 2025 Franchise Disclosure Document, franchisees are permitted to share confidential information regarding the development and operation of the Facial Bar with a limited group of individuals. Specifically, franchisees may divulge confidential information only to those employees who require access to it for the purpose of operating the Facial Bar. This carefully controlled dissemination of sensitive information is intended to protect Face Foundrie's proprietary knowledge and know-how.

This policy ensures that confidential information remains within a need-to-know framework, minimizing the risk of unauthorized disclosure or misuse. Franchisees must take precautions to prevent unauthorized use or disclosure of confidential information, and Face Foundrie may require franchisees, their Operating Partners, and other owners to sign confidentiality, non-competition, and non-solicitation agreements. These agreements can prohibit them from engaging in activities that compete with Face Foundrie, disclosing confidential information, and soliciting employees of Face Foundrie or other Face Foundrie locations.

Furthermore, Face Foundrie may require certain key employees who have received confidential information to enter into confidentiality agreements. Franchisees are obligated to promptly notify Face Foundrie of any unauthorized use or disclosure of confidential information, including by their employees. This multifaceted approach to safeguarding confidential information underscores the importance Face Foundrie places on protecting its trade secrets and maintaining a competitive edge in the market.

Prospective franchisees should understand that maintaining the confidentiality of Face Foundrie's proprietary information is a critical aspect of their obligations under the Franchise Agreement. Failure to comply with these confidentiality requirements could have legal and financial repercussions, as Face Foundrie reserves the right to take legal action against franchisees who engage in unauthorized use or disclosure of confidential information.
