What This Means (2025 FDD)

According to Face Foundrie's 2025 Franchise Disclosure Document, a franchisee, its owners, and restricted parties agree that their sole recourse for claims arising between the parties will be against Face Foundrie and its successors and assigns. This means that if a franchisee has a dispute or claim, their legal recourse is limited to pursuing action against the Face Foundrie franchisor entity itself.

Furthermore, the franchisee, owners, and restricted parties specifically agree that the owners, directors, managers, officers, employees, and agents of Face Foundrie and its affiliates will not be held personally liable. They also cannot be named as a party in any legal action between Face Foundrie and the franchisee, owner, or restricted party. This provision shields individuals associated with Face Foundrie from personal liability in disputes.

This type of clause is common in franchise agreements to protect the personal assets of the franchisor's leadership and staff. It directs any legal claims to the corporate entity, which is structured to handle such liabilities. Prospective franchisees should understand that this limits their ability to sue individuals within the Face Foundrie organization, even if those individuals were directly involved in the actions giving rise to the claim.
