What rights does Expense Reduction Analysts retain regarding ERA Threshold Accounts?

may update or modify this list in writing at any time.
You will not have the right to knowingly solicit, and/or provide any of the Approved Products or Approved Services to, any ERA Threshold Account or ERAC Account unless we authorize you to do so in writing once such an account has been referred to ERAC or us (as appropriate).
You must direct any potential ERA Threshold Accounts to us. Once referred to us, we will have the right, as we deem appropriate in our sole discretion, to determine how to handle such ERA Threshold Accounts, including the right to: (i) approve or reject any ERA Threshold Account; (ii) determine whether you may, and to what extent, offer and provide Approved Products and Services to an ERA Threshold Account; and/or (iii) direct any ERA Threshold Account to another franchisee, an Area Representative, and/or ERAC. As previously disclosed, any ERAC Account must be directed to ERAC, at which point ERAC will have the same rights and discretion to administer such ERAC Accounts.
In the event you unknowingly solicit or commence working with any ERA-Threshold Account or ERAC Account, you must immediately notify us at the point you know, or reasonably should know, that the client at issue meets the criteria for an ERA Threshold Account or ERAC Account. Your failure to comply with these directives regarding ERA Threshold Accounts and ERAC Accounts will constitute a material violation of your Franchise Agreement.
As of the date of this Franchise Disclosure Document we have implemented (on a trial basis) a Brand Growth Partners ("BGP") program which is offered to existing or new qualifying franchisees who meet the then current criteria, and under certain terms and conditions those franchisees are preapproved to work with ERA Threshold Accounts. The BGP Program is not offered throughout the USA and is available to existing franchisees on a periodic basis as we determine. The existing qualifications for participation are subject to review. If you wish to offer any product or service other than our Approved Products and Services or use any item in connection with your Consulting Business that does not meet our System standards and specifications, then you must obtain our prior written approval as described more fully below in this Item.

According to Expense Reduction Analysts's 2025 Franchise Disclosure Document, Expense Reduction Analysts retains significant rights regarding ERA Threshold Accounts. Franchisees are prohibited from knowingly soliciting or providing approved products or services to ERA Threshold Accounts or ERAC Accounts without written authorization from Expense Reduction Analysts. If a franchisee unknowingly begins working with such an account, they must immediately notify Expense Reduction Analysts. Failure to comply with these directives constitutes a material violation of the Franchise Agreement.

ERAC has the same rights and discretion to administer ERAC Accounts.
Expense Reduction Analysts also has a Brand Growth Partners (BGP) program offered to qualifying franchisees, allowing them to work with ERA Threshold Accounts under specific terms and conditions. However, this program is not available throughout the USA and is offered periodically at Expense Reduction Analysts's discretion. These stipulations give Expense Reduction Analysts considerable control over larger or more significant accounts, allowing them to optimize service delivery and potentially direct business to franchisees or representatives they deem best suited for the client. This also allows Expense Reduction Analysts to maintain quality control and consistency across the brand.
For a prospective franchisee, this means they may not be able to directly pursue or service larger accounts without express permission or participation in the BGP program. It is important to understand the criteria for the BGP program and the process for obtaining authorization to work with ERA Threshold Accounts. Franchisees should inquire about the typical handling of these accounts and the opportunities available to participate in servicing them to fully understand the potential impact on their business.
