- We will grant you the right to own and operate a Consulting Business within your nonexclusive Area and to use our Marks and System. (Section 2.1 of the Franchise Agreement)

- We will grant you access to our Manuals. The Manuals contain our standards and methodologies for the business. We will revise the Manuals periodically to reflect the development of our business and will notify you of updated materials electronically via email or our internal or external websites and intranet. (Sections 2.1 and 19 of the Franchise Agreement)
As previously disclosed in Item 8, you are only permitted to solicit business from and/or provide Approved Products and Services to Eligible Clients in your Area. We or ERAC have the exclusive right to manage, administer and service ERA Threshold Accounts and ERAC Accounts, respectively, and will be able to make final and binding determinations regarding: (i) how the account will be serviced, if at all; (ii) whether you may provide any Approved Products and Services to such accounts; and (iii) the compensation you will receive should you accept the offer and opportunity to provide such products/services to these kinds of accounts.

- We may recommend the prices, including minimum and maximum prices (subject to applicable law) at which you provide the Approved Products and Services in connection with your Consulting Business, as we deem appropriate in our sole discretion. (Section 7.3 of the Franchise Agreement)

- We may require you to use certain templates that we provide as standard forms in connection with your Consulting Business and use the forms according to our standards and specifications as set forth in the Manuals or otherwise in writing. (Sections 7.1 and 7.2 of the Franchise Agreement)

- We will provide support services in operating our system. We will record client receivables and client payments in a database to which you will have electronic access. (Sections 4.2, 6.2 of the Franchise Agreement)
You will use the Computer System to, among other things, manage leads, contacts, appointments, accounts and work-in-progress, to access our Proprietary Software, and to communicate with other members of our global franchise network.
We will provide you with access to, or otherwise loan you, one (1) copy of our confidential and proprietary Manuals. You must operate your Consulting Business in accordance with the Manuals and all applicable laws and regulations. The Manuals may be amended or modified by us at any time to reflect changes in the System. You must keep the Manuals confidential and current, and you may not copy any part of the Manuals.

What This Means (2025 FDD)
According to Expense Reduction Analysts' 2025 Franchise Disclosure Document, franchisees are granted specific rights related to operating a consulting business using the Expense Reduction Analysts system. Expense Reduction Analysts grants the right to own and operate a consulting business within a nonexclusive area, utilizing their marks and system. Franchisees also gain access to Expense Reduction Analysts' manuals, which contain the standards and methodologies for the business. Expense Reduction Analysts also provides support services for operating their system, including recording client receivables and payments in a database accessible to the franchisee. Additionally, Expense Reduction Analysts or their designee will license their current proprietary software to allow franchisees to access and use administrative services. However, the rights granted are subject to certain limitations and obligations. Franchisees are only permitted to solicit business from and provide approved products and services to eligible clients within their designated area. Expense Reduction Analysts retains the exclusive right to manage ERA Threshold Accounts and ERAC Accounts, determining how these accounts will be serviced and the compensation franchisees will receive for providing services to them. Expense Reduction Analysts may also recommend prices for approved products and services and require the use of specific templates in connection with the consulting business. Franchisees must operate their consulting business in accordance with the manuals and all applicable laws and regulations, keeping the manuals confidential and current.
