What This Means (2025 FDD)

According to Expense Reduction Analysts' 2025 Franchise Disclosure Document, Expense Reduction Analysts retains control over any administrative proceedings or litigation involving its Intellectual Property. This means that Expense Reduction Analysts, not the franchisee, will direct and manage any legal actions related to the brand's trademarks, copyrights, or other intellectual assets.

As a franchisee, you are obligated to notify Expense Reduction Analysts immediately if you become aware of any infringement or potential infringement of their Intellectual Property by a third party. Furthermore, you must take any reasonable action that Expense Reduction Analysts requires to help stop or prevent the infringement. You are also required to cooperate with and assist Expense Reduction Analysts in executing documents and actions deemed necessary by their counsel to carry out the defense or prosecution of any litigation relating to the Intellectual Property.

In the event of a third-party claim against you arising solely from your authorized use of Expense Reduction Analysts' Intellectual Property, Expense Reduction Analysts will have complete control over the defense, settlement negotiations, and resolution of the claim, including the right to select legal counsel. However, the document states that Expense Reduction Analysts' liability is limited to no more than the License Fee paid under the agreement.

This arrangement is typical in franchising, as franchisors need to protect their brand's Intellectual Property consistently across all franchise locations. By maintaining control over litigation, Expense Reduction Analysts can ensure a unified legal strategy and protect the overall value of its brand. Franchisees benefit from this arrangement by having access to the franchisor's legal expertise and resources, but they must also be prepared to cooperate fully with the franchisor's legal efforts.
