Does Expense Reduction Analysts grant an exclusive or non-exclusive license to use the Intellectual Property?

According to the 2025 Expense Reduction Analysts Franchise Disclosure Document, the franchise grants a non-exclusive license to use its intellectual property. Specifically, Expense Reduction Analysts retains the right to grant licenses to others to use the Trademarks and benefit from the ERA System, in addition to the rights granted to the franchisee. Expense Reduction Analysts also reserves the right to develop and license other trademarks or service marks in conjunction with systems other than the ERA System.

This non-exclusive arrangement means that Expense Reduction Analysts franchisees will not have exclusive rights to the brand's trademarks or systems in their territory. Expense Reduction Analysts can license the trademarks to other franchisees or even develop entirely new systems and trademarks that compete with existing franchisees.

For a prospective franchisee, this implies a risk that Expense Reduction Analysts could authorize other franchisees or business models to operate in the same area, potentially creating competition. The franchisee will have no right or interest in any such other trademarks, licenses, or systems that Expense Reduction Analysts develops. Expense Reduction Analysts also grants to the franchisee a non-exclusive license to use the Intellectual Property for the purpose of operating the Business in the Area in accordance with the Franchise Agreement. The franchisee must comply with all reasonable directions given by Expense Reduction Analysts in connection with the use of the Intellectual Property and must not register or seek to register any of the Intellectual Property, acknowledging that it is solely owned by Expense Reduction Analysts or its licensors.
