the Territory, have been in contact with the aim to persuade such prospective clients to enter into a Client Contract in respect of the provision of Services.
ERA System means the unique business format, systems, methods, procedures, policies, image, operations, standards and controls pertaining to the operation of a Business (and ERA Business)

Expiration Date means the 30th anniversary of the date the original agreement governing this franchise/license was executed.
Financial Year means 1st January to 31st December.
First Reconciliation Period means the period ending on the 31st December, after the first 18 month period of operations has been completed.
Franchisee means the party or parties described in Section 2 of the Data Sheet.
Franchisor's Discretion. Franchisor may engage in any activity not expressly prohibited by this Agreement. Whenever this Agreement provides that Franchisor has a certain right, that right is absolute and the parties intend that Franchisor's exercise of that right will not be subject to any limitation or review. Franchisor has the right to operate, administrate, develop, and change the System in any manner that is not specifically precluded by the provisions of this Agreement, although this right does not modify any express limitations set forth in this Agreement.
