Notwithstanding Section 27.1, the Franchisor may immediately terminate this Agreement upon written notice to You without providing You an opportunity to cure, if You:
- (6) voluntarily abandon the ERA Business or agree to the termination of this Agreement. For purposes of this Agreement, the term "abandon" means if: (i) You (or an approved manager of the ERA Business) fail to personally supervise and/or devote Your full-time to the day-to-day operations of the ERA Business; (ii) You fail to occupy the Premises during normal business hours and as otherwise required by Franchisor; (iii) You and Your Practice Model Consultants (if applicable) fail to provide the authorized Services to Your Client(s); or (iv) Your or Your

According to the 2025 Expense Reduction Analysts Franchise Disclosure Document, the franchisor can immediately terminate the agreement if the franchisee voluntarily abandons the ERA business or agrees to terminate the agreement. The term 'abandon' is specifically defined within the agreement.
Abandonment includes several scenarios. First, it occurs if the franchisee (or an approved manager) fails to personally supervise and/or devote their full-time efforts to the day-to-day operations of the Expense Reduction Analysts business. Second, abandonment is defined as failing to occupy the business premises during normal business hours, as required by Expense Reduction Analysts. Third, it includes situations where the franchisee and their Practice Model Consultants (if applicable) fail to provide the authorized services to their clients.
Finally, abandonment is also indicated if the franchisee or their principals take any action (or fail to take any action) that suggests a desire or intent to discontinue operating the Expense Reduction Analysts business in accordance with the franchise agreement or the ERA Manuals. Any of these actions can lead to immediate termination without an opportunity to cure the breach.
