How must notices be delivered under the Even Hotels agreement?

  • 11.3 Notices.In any case where any notice, approval, agreement or other communication is required or permitted to be given under this Agreement, such notice, approval, agreement or communication shall be in writing and deemed to have been duly given and delivered: (a) if delivered in person, on the date of such delivery; or (b) if sent by overnight express or registered or certified mail (with return receipt requested), on the date of receipt of such mail.

Such notice or other communication shall be sent to the address(es) set forth in the Hotel Agreement (or such other address(es) as a Party may designate from time to time in writing).

What This Means (2025 FDD)

According to the 2025 Even Hotels Franchise Disclosure Document, any required or permitted notice, approval, agreement, or other communication must be in writing. The notice is considered duly given and delivered if it meets one of the following conditions:

First, if the notice is delivered in person, it is deemed delivered on the date of delivery. Second, if the notice is sent by overnight express or registered or certified mail (with return receipt requested), it is deemed delivered on the date of receipt of such mail.

The notice or communication should be sent to the address specified in the Hotel Agreement or any other address that a party designates in writing from time to time. For HotelKey, the notice should be sent to the address in the preamble. For IHG, the notice should be sent to the address in Section 11.9 (IHG Contracting Entity; Governing Law). A party can update its notice address by notifying the other parties in writing, following the guidelines mentioned above.
