RECITALS
- A. IHG owns and licenses the "Brand System" (as defined in paragraph 1.B. below). Licensee is the owner of the Hotel and has requested a license to use the Brand System to operate the Hotel as a Brand System Hotel (as defined in paragraph 1.B. below).
- B. IHG shall grant to Licensee a non-exclusive license to operate the Hotel as a Brand System Hotel, subject to the terms of this License.
- C. Guarantor(s) will provide the Guaranty.
- D. In granting this non-exclusive license, IHG has relied upon the business skill, financial capacity, and character of Licensee and the Guaranty to be provided by the Guarantor(s).
NOW, THEREFORE, in consideration of the promises and covenants in this License, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, IHG and Licensee agree as follows:
1. The License:
The Brand System is designed to provide a distinctive, high quality hotel service to the public under the name "EVEN® Hotels". High standards established by IHG are the essence of the Brand System. Future investments may be required of Licensee under this License. Licensee desires to enter into this License in order to obtain a license to use the Brand System in the operation of a hotel located at the "Location" identified on Attachment "A" and defined in paragraph 2.A. below (the "Hotel").
A. The Hotel.
The Hotel comprises all structures, facilities, appurtenances, furniture, fixtures, equipment, entry and exit rights, parking, pools, landscaping and other areas from time to time located on the land identified by Licensee to IHG in anticipation of this License, or located on any land from time to time approved by IHG for additions, signs or other facilities. The Hotel must include the facilities listed on Attachment "A" hereto.

What This Means (2025 FDD)
According to Even Hotels' 2025 Franchise Disclosure Document, the Licensee is identified as the owner of the hotel who has requested a license to use the Brand System to operate the Hotel as a Brand System Hotel. IHG (InterContinental Hotels Group) relies on the business skill, financial capacity, and character of the Licensee when granting the license. The Licensee must represent and warrant that the entities and persons signing the License on their behalf are duly authorized to do so and can bind the Licensee to the agreement. They must also have obtained all necessary approvals to avoid violating any existing agreements or obligations.
Furthermore, the Licensee is responsible for maintaining a high moral and ethical standard at the hotel, keeping it clean, safe, and orderly, and providing efficient, courteous, and high-quality service. They must also comply with IHG's standards for goods and services and other requirements to protect the Brand System. The Licensee must adhere to IHG's requirements regarding the types of services and products offered at the hotel and the use, display, style, and type of signage and other forms of identification.
The hotel itself is defined as all structures, facilities, furniture, fixtures, equipment, entry and exit rights, parking, pools, landscaping, and other areas located on the land identified by the Licensee to IHG. Any significant changes to the hotel, such as changes in the number of guest rooms or suites, or changes in how the hotel rooms and services are offered, require IHG's written approval. The Licensee must also represent that they are entitled to possession of the hotel during the entire License Term without restrictions that would interfere with the License.
