transferred to the Office from the Hotel;

  1. Use and Hours of Operation. SCH may use the IHG Voice Reservation Office for the purposes described in this Agreement as well as for other revenue and reservation producing efforts and customary ancillary uses. The initial hours of operation are represented below and are subject to change based on call volume needs. Calls outside listed hours of operation will be supported by SCH global operations to ensure 24 hour coverage in English, French and Spanish.

    1. Presentations to the staff of the Office which will include updating and providing information about the Hotel; brochures and other information that will enhance the Office's ability to sell Hotel rooms;

Monthly updates of Local Negotiated Rates (LNR) accounts, and any special rates that may apply thereto, Direct Bill Accounts information with all pertinent details, additional groups, special promotions and Hotel information loaded into HOLIDEX Plus and IHG Hotel Content Manager website. Any such information is used by SCH and the Office for customer service purposes only;
    1. Updates, as appropriate, of Hotel staff changes and hotelcontacts;
    1. Access to Hotelfacilities by the Office employees for the purpose of familiarizing them with the Hotel to enhance the ability to sell Hotel rooms;
    1. Weekly updates to the Hotel's custom IHG® Hotel Content Manager internet site to include information on the above.

8.Office Staff. Hotel Owner acknowledges that all employees in the Office are employees of SCH and are subject to its hiring practices and policies of SCH.

What This Means (2025 FDD)

According to the 2025 Even Hotels Franchise Disclosure Document, Hotel Owner or its authorized representative must provide certain information to SCH (presumably a service provider) which may then be used for customer service purposes. This information includes presentations to staff, monthly updates of Local Negotiated Rates (LNR) accounts, Direct Bill Accounts information, details on additional groups, special promotions, and other hotel information loaded into HOLIDEX Plus and the IHG Hotel Content Manager website. Additionally, updates to hotel staff changes and hotel contacts are to be provided as appropriate. The Hotel Owner must also provide access to hotel facilities for Office employees to familiarize themselves with the Hotel to enhance their ability to sell Hotel rooms, and weekly updates to the Hotel's custom IHG® Hotel Content Manager internet site to include the aforementioned information.

Furthermore, Even Hotels requires Hotel to specifically grant SCH access, and authorizes SCH access, through SCH's Corporate Monitor program to Hotel's property management system and HolidexPlus to review and make changes to Hotel's inventory. SCH will use such Corporate Monitor access for activities designated by Hotel through the Hotel Content Manager Internet site and as otherwise needed to provide IHG Voice services to Hotel. The Hotel must sign any required documentation in order to grant SCH such access.

In addition, HotelKey, a data processor, must inform both the Hotel and IHG if it is legally required to disclose personal data to any entity other than a party to the agreement, to the extent permitted by applicable law. HotelKey is also authorized to use the Subprocessors listed in Attachment 2-A, and any changes to this list require notification to the Hotel, giving them an opportunity to object. This notification can be done by publishing an updated list of Subprocessors on HotelKey's website.

These stipulations ensure that Even Hotels maintains a level of oversight and control over the information being disseminated about its franchisees, while also complying with data protection laws and maintaining service quality through authorized third-party access.
