According to the Even Hotels agreement, what services will FreedomPay provide?

According to the 2025 Even Hotels FDD, FreedomPay will provide services in accordance with the terms of the Participation Agreement, including the FreedomPay Pass-Through Terms. IHG (InterContinental Hotels Group) and FreedomPay have a Secure Payment Solution Agreement effective as of July 2021, which allows IHG-branded hotels to benefit from FreedomPay's secure payment solution services upon execution of a Participation Agreement. FreedomPay is the direct provider of these services, even though IHG manages the onboarding, payments, and support for the hotel. The hotel accesses a single hosted environment configured for IHG and cannot customize it for individual needs.

FreedomPay may implement hosted updates to its system at its discretion. The Even Hotels franchisee has some flexibility in implementing non-hosted updates according to IHG's schedule. Specifically, the franchisee must begin implementing these updates no later than 12 months after receiving notice from FreedomPay and complete them within 24 months of that notice. However, if the non-hosted update is required by law, network requirements, PCI requirements, or another applicable authority, the franchisee must implement the update by the date specified in the law or requirement. If the franchisee fails to implement a required non-hosted update, FreedomPay can terminate operational support for the prior release, even if the hotel continues to use it.

FreedomPay also maintains a status alerting system to notify the Even Hotels franchisee about any system status issues. The Even Hotels franchisee grants FreedomPay a perpetual, nonexclusive license to store, copy, and use hotel data to the extent necessary to perform its obligations under the Participation Agreement and comply with applicable law. FreedomPay can also use and disclose Hotel Aggregated Data for its business purposes. IHG has full access to the transactions and data processed on behalf of the hotel by FreedomPay, including hotel data such as names, services purchased, usage, billings, payment status, and payment card data.
