What This Means (2025 FDD)
According to Epcon Communities' 2025 Franchise Disclosure Document, there are two strict conditions precedent to the franchise license.
First, the franchisee must comply with all terms and conditions of the Franchise Agreement, including the timely payment of all sums due to Epcon Communities. This means that a franchisee's license to operate under the Epcon Communities brand is contingent upon meeting all contractual obligations and financial responsibilities outlined in the agreement. Failure to adhere to these terms, such as missing royalty payments or not following operational guidelines, could jeopardize the franchise license.
Second, the franchisee must strictly comply with the provisions regarding the use and protection of Epcon Communities' copyrighted materials, known as the "Epcon Communities Works." This includes not building, licensing, transferring, reproducing, or duplicating the Epcon Communities Works in any way that is not expressly authorized in the agreement. It also requires maintaining copyright notices on all documentation and preventing unauthorized distribution of copyrighted materials. Any violation of these copyright provisions constitutes unauthorized use and copyright infringement, which would be a breach of the condition precedent to the license.
These conditions precedent highlight the importance of adhering to the Franchise Agreement and protecting Epcon Communities' intellectual property. Prospective franchisees should carefully review these requirements to ensure they can meet these obligations, as failure to do so could result in the loss of their franchise license.
