What This Means (2025 FDD)
According to Epcon Communities' 2025 Franchise Disclosure Document, when Epcon Communities reserves discretion or agrees to act reasonably or in good faith, it will satisfy its obligations by exercising "Reasonable Business Judgment." This means that Epcon Communities' decisions are considered valid as long as they are intended to benefit the Development System, even if other alternatives might be available or preferable. This definition applies to situations where Epcon Communities has the power to make choices or take actions under the franchise agreement.
For a prospective franchisee, this means that Epcon Communities has significant leeway in its decision-making, as long as it can demonstrate that its actions are intended to improve the overall franchise system. This could include decisions related to brand standards, customer service, product quality, or competitive positioning. Even if a franchisee disagrees with a particular decision, it will likely be upheld as long as Epcon Communities can show it was made with the broader interests of the franchise network in mind.
However, the FDD also specifies examples of items that would promote or benefit the Development System. These include enhancing the value of the Marks or the Epcon Communities Works, improving customer service and satisfaction, improving product quality, improving uniformity, enhancing or encouraging modernization and improving the competitive position of the Development System. This clause gives Epcon Communities considerable power, but it also provides some transparency into the criteria it will use when making decisions that affect franchisees. Franchisees should be aware of this definition and its implications for their relationship with Epcon Communities.
