What is the required action of the Assignee regarding communication to Epcon Communities about assuming obligations?
Epcon_Communities Franchise · 2025 FDDAnswer from 2025 FDD Document
Assignee hereby accepts the Assignment and, if, upon the default by Assignor under the Loan Agreements, Assignee decides to use the Development System to complete any unfinished Project(s), assumes, and agrees to be bound by all of Assignor's obligations under the Franchise Agreement as such obligations relate to the Epcon Communities project developed by Assignor and such of Assignor's obligations under the Franchise Agreement and the Market Area Agreement as are corresponding with the right, title, and interest transferred to Assignee in Section 1 hereof (hereinafter, the "Obligations"). Assignee shall promptly communicate in writing to Epcon Communities its decision respecting assumption of the Obligations as franchisee under the Franchise Agreement and the Market Area Agreement. If Assignee, in full compliance with the terms of the Franchise Agreement and the Market Area Agreement uses the Development System to complete a Project or Projects, Assignee shall have no obligation to Epcon Communities to cause Assignee's stock certificates or other certificates evidencing ownership to be inscribed with a legend referencing the Franchise Assignment Agreement, the Lender Agreement, or the Market Area Agreement.

What This Means (2025 FDD)
According to Epcon Communities' 2025 Franchise Disclosure Document, an Assignee who decides to use the Development System to complete unfinished projects after the Assignor defaults on loan agreements must promptly inform Epcon Communities in writing about their decision to assume the obligations as a franchisee under the Franchise Agreement and the Market Area Agreement. This communication is crucial for Epcon Communities to understand who is responsible for fulfilling the obligations outlined in these agreements.
This requirement ensures that Epcon Communities is kept in the loop regarding any changes in responsibility for project completion and adherence to the franchise and market area agreements. By promptly communicating their decision, the Assignee allows Epcon Communities to maintain oversight and ensure compliance with the established standards and procedures. This also allows Epcon Communities to prepare for any necessary support or training that the Assignee might require to successfully complete the projects.
However, the FDD also states that if the Assignee uses the Development System to complete projects in full compliance with the terms of the Franchise Agreement and the Market Area Agreement, the Assignee is not obligated to have their stock certificates inscribed with a legend referencing the Franchise Assignment Agreement, the Lender Agreement, or the Market Area Agreement. This suggests that while communication about assuming obligations is essential, certain administrative requirements may be waived if the Assignee adheres strictly to the existing agreements.
Overall, this provision highlights the importance of clear and timely communication between the Assignee and Epcon Communities to ensure a smooth transition and continued adherence to the franchise agreements. Prospective franchisees should be aware of this requirement and be prepared to promptly notify Epcon Communities of their intentions regarding project completion and obligation assumption.
