Is the license to use the Marks granted to Epcon Communities franchisees exclusive?

- 6.6 Franchisee expressly acknowledges and agrees that this license to use the Marks is nonexclusive and that Franchisor has and retains the rights, among others:
- (a) To grant other franchises and licenses for the use of the Marks, in addition to those already granted to existing Epcon Communities franchisees and to Franchisee;
- (b) To develop and establish other systems and programs utilizing the same or similar Marks, or any other proprietary Marks, and to grant franchises and/or licenses therein without providing Franchisee any rights therein.

What This Means (2025 FDD)
According to Epcon Communities' 2025 Franchise Disclosure Document, the license to use the Marks is nonexclusive. This means that Epcon Communities retains the right to grant other franchises and licenses for the use of the Marks to other franchisees. They can do this in addition to the licenses already granted to existing Epcon Communities franchisees, including the new franchisee.
Furthermore, Epcon Communities reserves the right to develop and establish other systems and programs that utilize the same or similar Marks. They can also use other proprietary Marks and grant franchises or licenses for these without providing the franchisee any rights to them. This could potentially lead to other businesses operating under similar branding, which may compete with the franchisee's business.
This non-exclusive arrangement is a standard practice in franchising, allowing franchisors to expand their brand presence and market reach. However, for a franchisee, it means there is no guarantee of territorial exclusivity regarding the brand's use, and they may face competition from other franchisees or business ventures authorized by Epcon Communities.
