Is the Epcon Communities license to use the Marks exclusive?

- 6.6 Franchisee expressly acknowledges and agrees that this license to use the Marks is nonexclusive and that Franchisor has and retains the rights, among others:
- (a) To grant other franchises and licenses for the use of the Marks, in addition to those already granted to existing Epcon Communities franchisees and to Franchisee;
- (b) To develop and establish other systems and programs utilizing the same or similar Marks, or any other proprietary Marks, and to grant franchises and/or licenses therein without providing Franchisee any rights therein.

What This Means (2025 FDD)
According to Epcon Communities's 2025 Franchise Disclosure Document, the license to use their Marks is nonexclusive. Epcon Communities retains the right to grant other franchises and licenses for the use of the Marks to other franchisees. They can also develop other systems and programs using the same or similar Marks, or any other proprietary Marks, and grant franchises or licenses without providing the franchisee any rights.
This nonexclusive arrangement means that a franchisee's territory is not protected from other Epcon Communities franchisees or from Epcon Communities itself using similar branding. This could lead to increased competition within the Epcon Communities system, potentially impacting a franchisee's market share and revenue.
Furthermore, the franchisee cannot use the Marks as part of their corporate or legal name without prior written consent from Epcon Communities. The franchisee also cannot seek registration or claim ownership of any Marks or confusingly similar service marks or trade names. This reinforces Epcon Communities's control over its brand identity and prevents franchisees from creating potentially conflicting brands.
An Epcon Communities franchisee is also restricted from allowing any third party to imprint the Marks on any products or materials without the franchisor's consent and a signed license agreement between the third party and Epcon Communities. The franchisee must display the Marks on all advertising and promotional materials as prescribed by Epcon Communities. Epcon Communities maintains the right to create and control websites using the Marks, including domain names, and franchisees are generally prohibited from operating separate websites for their specific projects.
