We have never offered or granted franchises in any other line of business and are not engaged in other business activities. Epcon, Epcon Carolinas, Epcon Indiana, Epcon Georgia and Epcon Tennessee have never offered or granted franchises in any line of business. Epcon Marketing has never developed an Epcon Communities project of the type being franchised and has never offered or granted franchises in any line of business.

What This Means (2025 FDD)
According to the 2025 Epcon Communities Franchise Disclosure Document, Epcon Communities Franchising, LLC (ECFL) is primarily focused on franchising. The FDD states that ECFL does not engage in other business activities. ECFL licenses franchisees to develop, construct, and market residential homes in community development projects using its proprietary Development System, which includes architectural plans and building designs.
However, while ECFL itself has not developed Epcon Communities projects of the type being franchised, its affiliates, including Epcon, Epcon Carolinas, Epcon Indiana, Epcon Georgia, and Epcon Tennessee, are actively involved in developing and constructing residential community projects. These affiliates operate in various states, utilizing the same Development System that franchisees use. This means that while ECFL focuses on franchising and supporting its franchisees, its affiliated companies are directly involved in the real estate development and construction side of the business.
Additionally, Epcon LLC granted licenses to licensees to use what was then known as the Epcon development system to develop residential communities from October 1988 through April 1995. Epcon LLC ceased granting licenses for use of the system in April 1995 and itself became a licensee of ECFL. Epcon continues to develop residential communities using the Development System. Also, from time to time, ECFL enters into license agreements with former franchisees and other parties that permit the former franchisee or other party to use certain plans in special circumstances and for the purpose of completing unfinished projects.
For a prospective franchisee, this means that Epcon Communities has a dual role: it is both a franchisor providing the Development System and support, and it has affiliated companies that are actively developing and constructing communities themselves. This could provide a franchisee with a degree of confidence, knowing that the system is being actively used and refined by related entities. However, it also means that franchisees may potentially compete with these affiliated companies in certain markets.
