What This Means (2025 FDD)

According to the 2025 Epcon Communities Franchise Disclosure Document, as part of the Franchise Agreement, a franchisee acknowledges that their understanding and knowledge of the Epcon Communities Development System, including all processes, services, products, formulas, technology, and know-how related to the development, construction, and marketing of an Epcon Communities project, is derived from Epcon Communities' proprietary and confidential information. This information is considered a trade secret.

This means that franchisees recognize the value and confidentiality of the Development System and agree to treat it as such. They are obligated to maintain the confidentiality of all information, knowledge, or know-how concerning the Development System and its methods of operation. This includes any other matters that could be considered part of the Development System. Franchisees are restricted from sharing this information with anyone, except their employees to the extent necessary for project development. They also cannot allow unauthorized individuals to inspect the Operations Manual, other manuals disclosed in Item 11, blueprints, or other materials provided by Epcon Communities.

Furthermore, franchisees must ensure that their employees also adhere to these confidentiality obligations outlined in the Franchise Agreement. The franchisee is only permitted to utilize the Development System for projects that have been approved by Epcon Communities under the Franchise Agreement and Market Area Agreement. This underscores the importance of protecting Epcon Communities' intellectual property and maintaining the integrity of its Development System. This is a fairly standard clause in franchise agreements, as franchisors need to protect their systems from being copied by competitors.
