What This Means (2025 FDD)
According to the 2025 Epcon Communities Franchise Disclosure Document, the Assignment Agreement, not the Franchise Agreement, may be executed in one or more counterparts. This means that the Assignment Agreement can be signed in multiple identical copies, which, when taken together, form a single binding agreement.
This flexibility is common in business transactions to accommodate parties who are geographically separated or have scheduling constraints. Each counterpart is considered an original, and all counterparts together constitute the complete agreement. This eliminates the need for all parties to sign the same physical document at the same time.
For a prospective Epcon Communities franchisee, this clause simplifies the process of assigning the agreement to another party, as different individuals can sign different copies of the Assignment Agreement, streamlining the overall transaction. However, this clause applies specifically to the Assignment Agreement and not the Franchise Agreement itself.
