What This Means (2025 FDD)

According to Epcon Communities' 2025 Franchise Disclosure Document, a franchisee may be required to reimburse Epcon Communities for expenses incurred in defending against any action, suit, proceeding, investigation, inquiry, claim, or demand. Specifically, if Epcon Communities incurs expenses while defending itself, the franchisee must reimburse Epcon Communities in full for the total amount of these expenses within ten business days of receiving written notice from Epcon Communities.

This obligation is contingent upon the franchisee making every reasonable effort to have Epcon Communities dismissed or released from liability in the event of such legal actions. This suggests that the franchisee has a responsibility to proactively mitigate any potential legal issues involving Epcon Communities.

This requirement means that franchisees could face unexpected costs if legal issues arise and Epcon Communities needs to defend itself. The franchisee's financial responsibility for these legal expenses is a significant consideration, as it could impact their profitability and overall financial stability. Franchisees should ensure they understand the potential scope of these expenses and factor them into their financial planning.
