What This Means (2025 FDD)

According to the 2025 Epcon Communities Franchise Disclosure Document, Epcon Communities does not currently have any patents or pending patent applications that are material to the Epcon Communities franchise. However, franchisees are granted a limited, non-exclusive license to use information subject to certain copyright registrations for project development and construction, as designated by Epcon Communities. These copyright registrations, owned by IP86 and licensed to Epcon Communities, are detailed in Exhibit Q of the FDD, with sublicense terms outlined in Item 13.

The copyright registrations cover architectural designs, drawings, and blueprints that Epcon Communities licenses to franchisees for project development and construction. These copyrights have a duration of 70 years after the death of the last surviving author. Franchisees must use this copyrighted information in full compliance with the Franchise Agreement, manuals, and any rules prescribed by Epcon Communities.

Franchisees are required to promptly notify Epcon Communities of any use or potential infringement of the copyrighted information. While Epcon Communities is not obligated to take action on such notifications, it may, at its discretion, handle the defense, prosecution, or settlement of any related litigation. In such cases, franchisees must provide necessary assistance. If Epcon Communities discontinues or modifies the use of any copyrighted information, it may require franchisees to do the same, although franchisees are typically allowed to complete existing projects under certain conditions.

While Epcon Communities relies on copyright protections for its architectural designs, the absence of material patents suggests that its competitive advantage may lie more in its brand recognition, development system, and copyrighted designs rather than patented technology. Prospective franchisees should carefully review Exhibit Q and Item 13 of the FDD to understand the scope and limitations of the licensed copyrights and the terms of the sublicense agreement with IP86.
