WHEREAS, EFK and Franchisee have executed a Franchise Agreement ("Franchise Agreement") granting Franchisee the right to operate an Engineering For Kids Business under the terms and conditions of the Franchise Agreement;
WHEREAS, Member, by virtue of his or her position with Franchisee, will gain access to certain of EFK's Confidential Information, as defined herein, and must therefore be bound by the same confidentiality and non-competition agreement that Franchisee is bound by.
IN CONSIDERATION of these premises, the conditions stated herein, and for other good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the parties agree as follows:
- Confidential Information. Member shall not, during the term of the Franchise Agreement or thereafter, communicate, divulge or use, for any purpose other than the operation of the Engineering For Kids Business, any confidential information, knowledge, trade secrets or know-how which may be communicated to Member or which Member may learn by virtue of Member's relationship with Franchisee. All information, knowledge and know-how relating to EFK, its business plans, Engineering For Kids Businesses, or the System ("Confidential Information") is deemed confidential, except for information that Member can demonstrate came to Member's attention by lawful means prior to disclosure to Member; or which, at the time of the disclosure to Member, had become a part of the public domain.
2. Covenants Not to Compete.
- (a) Member specifically acknowledges that, pursuant to the Franchise Agreement, and by virtue of its position with Franchisee, Member will receive valuable specialized training and Confidential Information, including, without limitation, information regarding the operational, sales, promotional, and marketing methods and techniques of EFK and the System.
- (b) Member covenants and agrees that during the term of the Franchise Agreement, except as otherwise approved in writing by EFK, Member shall not, either directly or indirectly, for itself, or through, on behalf of, or in conjunction with any person, persons, partnership, corporation, or entity:
- 15.3.7. (i) Own, manage, engage in, be employed by, advise, make loans to, consult for, rent or lease to, or have any other interest in any Competitive Business (the term "Competitive Business" means a business engaged in the provision of services that are the same as or similar to an Engineering For Kids Business, including, but not limited to, the provision of youth educational and enrichment programs and services relating to the fields of math, science, technology or engineering; and the term "Competitive Business" also includes making use of the customer lists and other data
pertaining to the Engineering For Kids Business for any purpose whatsoever other than in connection with your Engineering For Kids Business pursuant to this Agreement);

What This Means (2025 FDD)
According to the 2025 Engineering For Kids Franchise Disclosure Document, the Member's Non-Disclosure and Non-Competition Agreement is directly tied to the Franchise Agreement. The Non-Disclosure agreement is executed because the member, due to their position with the franchisee, will have access to Engineering For Kids' confidential information and must adhere to the same confidentiality and non-competition terms as the franchisee.
The Member acknowledges that through their position with the franchisee and the Franchise Agreement, they will receive specialized training and confidential information regarding Engineering For Kids' operational, sales, promotional, and marketing methods. This access necessitates a non-compete agreement during the term of the Franchise Agreement, preventing the Member from engaging in any competitive business that offers similar youth educational programs in math, science, technology, or engineering, or from using Engineering For Kids' customer lists for any purpose outside the scope of the franchise agreement.
Even after the Franchise Agreement terminates, the Member is restricted from owning, managing, or participating in any competitive business within the territory defined in the Franchise Agreement or any other territory granted to another Engineering For Kids franchise. This post-term restriction is subject to written approval from Engineering For Kids. Therefore, the Member's obligations under the Non-Disclosure and Non-Competition Agreement are directly dependent on the existence and terms of the Franchise Agreement.
