5.2 Notwithstanding anything set forth in Section 5.3 below, each party may terminate this Administrative Location Addendum for convenience during the Term by providing at least thirty (30) days written notice to the other party.
- 5.3 Franchisee agrees and acknowledges, that the operation of the Administration Location is contingent upon Franchisee's continued compliance in operating its franchised Business in accordance with the terms and conditions of the FA. If the FA is terminated or expires,
for any reason, this Administrative Location Addendum shall automatically terminate. Furthermore, if Franchisee fails to comply with the terms and conditions of this Administrative Location Addendum, such default will constitute a default under the FA and any other agreement between Franchisor and Franchise, and Franchisor, in its sole discretion, may terminate this Administrative Location Addendum, the FA and any other agreement between Franchisor and Franchisee.

What This Means (2025 FDD)
According to Engel & Volkers' 2025 Franchise Disclosure Document, either the franchisee or franchisor can terminate the Administrative Location Addendum for convenience. To do so, the terminating party must provide the other party with at least thirty (30) days written notice. This allows either party to end the agreement before its natural expiration, provided they give the required advance warning.
This termination clause offers flexibility for both Engel & Volkers and the franchisee. For example, if the franchisee's administrative needs change or the location becomes unsuitable, they can terminate the addendum with 30 days' notice. Similarly, Engel & Volkers can terminate the addendum if it no longer aligns with their strategic objectives.
However, the Administrative Location Addendum will automatically terminate if the Franchise Agreement (FA) is terminated or expires for any reason. Additionally, if the franchisee fails to comply with the terms of the Administrative Location Addendum, it will constitute a default under the FA, and Engel & Volkers can terminate both the addendum and the FA.
