What does the Engel & Volkers Integrated Product Suite include?

- A proprietary technology platform used in connection with the recording of property listings, client relationship management and online marketing support and for brokerage services and for the integration of franchisees into the ENGEL & VÖLKERS technology network and such other purposes as may be determined by Franchisor from time to time (the "Integrated Product Suite");
- 7.2 Integrated Product Suite: The Integrated Product Suite, will consist of web-based or other technology and other tools to be employed by Franchisee in the operation of its Residential Real Estate Brokerage and may consist of tools such as brokerage and Sales Advisor websites, customer relationship management tools, and email service through domain names such as evrealestate.com, and such other tools as may be directed, devised or determined by Franchisor from time to time and may be amended from time to time in Franchisor's discretion as further set forth in Section 7.7.
- 7.1 Franchisee's Rights: Franchisor hereby grants Franchisee a non-exclusive and nontransferable right to use the Integrated Product Suite during the Term.
- 7.3 Authorized Users. The only authorized users of the Integrated Product Suite and Licensed Materials besides Franchisee shall be staff members or Sales Advisors of Franchisee who have been trained in the ENGEL & VÖLKERS' training program or trained by a qualified staff member of Franchisee (collectively, the "Licensed Users").
- 7.6.2 Neither Franchisee nor any of its Licensed Users or staff members or Sales Advisors shall, or shall allow any other person to: modify, copy, adapt, reverse engineer, decompile, disassemble or otherwise use the Integrated Product Suite or the Licensed Materials;
- 7.4 Ownership of Integrated Product Suite and Licensed Materials. Franchisee acknowledges that the Integrated Product Suite and Licensed Materials include valuable trade secrets and copyrighted materials of Franchisor or its licensors, which information is being disclosed to Franchisee and the Licensed Users solely pursuant to the confidential relationship established under this Agreement.

According to Engel & Volkers' 2025 Franchise Disclosure Document, the Integrated Product Suite consists of web-based technology and other tools for operating a Residential Real Estate Brokerage. This suite may include brokerage and Sales Advisor websites, customer relationship management tools, and email service through domain names such as evrealestate.com. The franchisor may modify the Integrated Product Suite at its discretion.
Engel & Volkers grants franchisees a non-exclusive and nontransferable right to use the Integrated Product Suite during the term of the franchise agreement. Only authorized users, such as staff members or Sales Advisors trained in the Engel & Volkers' training program, can access the Integrated Product Suite and Licensed Materials. Franchisees are responsible for obtaining and maintaining the necessary equipment and hardware to use the Integrated Product Suite, and they must comply with all specifications issued by Engel & Volkers regarding the Integrated Product Suite and required hardware.
The Integrated Product Suite also includes a proprietary technology platform used for recording property listings, client relationship management, online marketing support, brokerage services, and integrating franchisees into the Engel & Volkers technology network. Engel & Volkers retains title to and all intellectual property rights in the Integrated Product Suite, its branding, and customization specifications, as well as the Licensed Materials. Franchisees must ensure that their licensed users comply with all obligations stipulated in the franchise agreement and cannot modify, copy, adapt, reverse engineer, decompile, disassemble, or sublicense any rights in the Integrated Product Suite.
