- 18.8 Governing Law. The laws of the state of California (without giving effect to its principles of conflicts of law) govern all adversarial proceedings between the parties.
The parties agree that any California law for the protection of franchisees or business opportunity purchasers will not apply unless its jurisdictional requirements are met independently without reference to this Section 18.8.

What This Means (2024 FDD)
According to Endless Summer Sweets's 2024 Franchise Disclosure Document, the Guaranty and Non-Compete Agreement is governed by the laws of California. Specifically, all adversarial proceedings between Endless Summer Sweets and its franchisees will be subject to California law, without regard to its conflict of law principles.
This means that any legal disputes arising from the Guaranty will be interpreted and resolved according to California state law. This is important for prospective franchisees to understand, as the laws of California will dictate the legal framework within which their agreement with Endless Summer Sweets will operate.
However, the FDD also notes that any California law intended to protect franchisees or business opportunity purchasers will not apply unless its jurisdictional requirements are met independently, without relying on the governing law provision itself. This suggests that while California law generally applies, specific protections for franchisees under California law may have additional requirements to be met.
