What This Means (2024 FDD)

According to Endless Summer Sweets's 2024 Franchise Disclosure Document, a franchisee entering into a Multi-Unit Development Agreement (MUDA) must locate each Endless Summer Sweets business within a specific "Development Area." This area is defined in the MUDA. The franchisee secures exclusive rights to develop, open, and operate Endless Summer Sweets businesses within this designated Development Area during the term of the agreement.

This arrangement provides the franchisee with a defined territory for expansion, preventing other franchisees from opening competing Endless Summer Sweets locations within that area. This exclusivity can be a significant advantage, allowing the franchisee to focus on developing their market without direct competition from other franchisees of the same brand. However, it also places the responsibility on the franchisee to fully develop the potential of the Development Area.

The MUDA outlines specific conditions and potential consequences related to the development schedule. If the franchisee fails to meet the agreed-upon development schedule, Endless Summer Sweets has the right to terminate the MUDA. This termination can occur without an opportunity for the franchisee to rectify the situation. Additionally, if Endless Summer Sweets has grounds to terminate any other franchise agreement with the franchisee, it can also terminate the MUDA, regardless of whether the other franchise agreement is actually terminated.

It's important to note that the franchisee's commitment to develop Endless Summer Sweets businesses under the MUDA is treated as an option. If Endless Summer Sweets terminates the MUDA due to the franchisee's default, the franchisee will not be held liable for lost future revenues or profits from unopened Endless Summer Sweets businesses. The franchisee's right to develop subsequent Endless Summer Sweets franchises after the initial one is contingent upon having sufficient financial and organizational capacity, as determined by Endless Summer Sweets, and maintaining full compliance with brand standards across all open and operating locations.
