What This Means (2024 FDD)
According to the 2024 Endless Summer Sweets Franchise Disclosure Document, a tenant (franchisee) has the right to assign or sublet their lease to the Franchisor, Endless Summer Sweets Franchising, Inc. However, this assignment or sublease does not relieve the tenant or any guarantor of their liability under the lease. This means that even if the lease is assigned to Endless Summer Sweets, the original franchisee remains responsible for the lease obligations.
If Endless Summer Sweets becomes the lessee of the property, they have the right to assign or sublease the lease to another Endless Summer Sweets franchisee. Additionally, any provision in the lease that limits the tenant's right to own or operate other Endless Summer Sweets outlets in proximity to the leased premises does not apply to the Franchisor. This clause provides Endless Summer Sweets with greater flexibility in managing its franchise locations.
This arrangement benefits Endless Summer Sweets by allowing them to take over a lease if a franchisee defaults or leaves the system, ensuring continued operation of the location under the brand. It also benefits potential new franchisees by providing them with an opportunity to take over an existing location with a pre-negotiated lease. However, the original franchisee remains liable, which could be a significant risk if the new tenant or Endless Summer Sweets fails to meet the lease obligations.
