What This Means (2024 FDD)
According to the 2024 Endless Summer Sweets FDD, the purpose of the Marketing Fund is not explicitly defined within the provided excerpts. However, the FDD does state that the Marketing Fund will be spent at the Franchisor's sole discretion, and the Franchisor is not a fiduciary with respect to the Marketing Fund. This means that Endless Summer Sweets has broad authority over how the fund is used, without a strict legal duty to prioritize the franchisees' financial interests in those decisions.
Endless Summer Sweets is not obligated to have all other Endless Summer Sweets businesses contribute to the Marketing Fund, nor are they required to contribute the same amount or rate as the franchisee. This could lead to some franchisees contributing more than others, potentially creating an imbalance in marketing support. The franchisor may also accumulate funds in the Marketing Fund and carry the balance over to subsequent years, and may loan funds to the Marketing Fund if it operates at a deficit.
Within 120 days of the close of the Franchisor's fiscal year, Endless Summer Sweets will prepare an unaudited annual financial statement of the Marketing Fund and provide it to the franchisee upon request. Additionally, Endless Summer Sweets may establish market advertising and promotional cooperative funds ("Market Cooperative") in any geographical areas, and franchisees may be required to participate in these cooperatives. Prospective franchisees should inquire about how the Marketing Fund is typically used, what percentage of the fund is allocated to different marketing activities (e.g., digital advertising, traditional media, local store marketing), and what input franchisees have in the fund's allocation.
