What is the purpose of the Guarantor executing the Guaranty for Endless Summer Sweets?

According to the 2024 Endless Summer Sweets Franchise Disclosure Document, the Guarantor executes the Guaranty to induce Endless Summer Sweets Franchising, Inc. to enter into the Franchise Agreement. The Guarantor typically owns an equity interest in the Franchisee. This agreement ensures that the Franchisor is more secure in its dealings with the Franchisee.

The Guaranty and Non-Compete Agreement also includes covenants related to confidential information. The Guarantor must maintain the confidentiality of all sensitive information both during and after the term of the Franchise Agreement. This includes not copying or reproducing any confidential information and promptly reporting any unauthorized disclosure or use of such information. The Guarantor acknowledges that all customer data generated or obtained is confidential information belonging to Endless Summer Sweets.

Furthermore, the Guaranty includes non-compete restrictions. During the term of the Franchise Agreement, the Guarantor cannot have any ownership interest in, lend money or provide financial assistance to, provide services to, or be employed by any competitor. Post-term, for two years after the Franchise Agreement expires or is terminated, the Guarantor is restricted from similar activities within twenty-five (25) miles of the Franchisee's territory or any other Endless Summer Sweets business. These covenants are independent of other provisions and can be modified by a court or arbitrator to protect the legitimate business interests of Endless Summer Sweets.
