What This Means (2024 FDD)
According to Endless Summer Sweets's 2024 Franchise Disclosure Document, the franchisor can terminate the Multi-Unit Development Agreement (MUDA) by providing notice to the franchisee under specific conditions. These conditions include the franchisee's failure to adhere to the development schedule outlined in the MUDA, or if Endless Summer Sweets has the right to terminate any franchise agreement with the franchisee (or their affiliate) due to the franchisee's default, regardless of whether Endless Summer Sweets actually terminates that franchise agreement.
This means that if a franchisee does not meet the agreed-upon timeline for opening new Endless Summer Sweets locations as per the development schedule, the franchisor has grounds to terminate the MUDA. Similarly, if the franchisee violates the terms of any existing franchise agreement with Endless Summer Sweets, giving the franchisor the right to terminate that agreement, the MUDA can also be terminated. It's important to note that the termination of the MUDA does not automatically make the franchisee liable for lost future revenues or profits from unopened Endless Summer Sweets businesses, as the commitment to develop these businesses is considered an option.
These termination conditions highlight the importance of franchisees meeting their development obligations and complying with all existing agreements with Endless Summer Sweets. Failure to do so can result in the termination of the MUDA, which would impact the franchisee's ability to further develop Endless Summer Sweets businesses within the designated development area. Prospective franchisees should carefully review the development schedule and all terms of the franchise agreement to ensure they can meet these requirements and avoid potential termination of the MUDA.
Furthermore, the FDD states that upon termination or expiration of the MUDA, obligations related to non-competition, confidentiality, indemnity, and dispute resolution will remain in effect. The franchisee must also pay all outstanding amounts to Endless Summer Sweets, return all copies of the manual, confidential information, and other materials, and cease doing business under any of the brand's marks. Within 30 days of termination, the franchisee must also remove all Endless Summer Sweets branding from the location.
